B2B Commercial Terms & Architectural Fabrication Framework
This document establishes the official contractual standards, technical specifications, and procurement policies governing all architectural aluminium and structural glass fabrication projects provided by Skyline Aluminium.
Effective Date: July 2026 | Document Control Ref: Standard B2B Terms V4.2 | Applicable Region: UAE & International Export Markets
1. Scope of Agreement & Acceptable Use
By placing a purchase order, submitting technical drawings, requesting quotations, or retaining Skyline Aluminium for engineering, manufacturing, export, or installation services, clients and general contractors agree unconditionally to these commercial Terms & Conditions. These terms apply to all custom architectural aluminium doors, thermal break window assemblies, structural glass partitions, shopfront curtain walls, louvered pergolas, and modular security units.
2. Engineering Standards & Technical Specifications
All structural aluminium extrusions, tempered safety glass panes, and thermal insulation barriers engineered by Skyline Aluminium adhere strictly to international building codes (including ASTM, BS EN, and UAE Civil Defense safety requirements). Specific performance parameters—such as wind load structural calculations, acoustic STC ratings, and U-value solar heat gain coefficients—are defined per approved technical shop drawings prior to extrusion cutting or CNC machining.
3. B2B Quotations, Pricing & Order Confirmation
Commercial quotations issued by Skyline Aluminium remain binding for thirty (30) calendar days from the date of issue unless specified otherwise in writing. Production scheduling and raw material procurement commence solely upon receipt of signed shop drawings, approved bill of quantities (BOQ), and confirmed advance milestone payment.
Key Procurement Factors:
- Price stability aligned with primary aluminium ingot benchmark indices.
- Engineering variance allowances up to ISO 2768-m dimensional standards.
- Written client sign-off required for any mid-production alteration.
4. Manufacturing Quality Control & Factory Acceptance Testing (FAT)
All extrusion cutting, corner crimp assembly, powder coating application, and double-glazed insulated unit sealing undergo rigorous batch Quality Control (QC) in our Al Sajaa facility. Overseas procurement representatives, main contractor engineers, and third-party inspectors are permitted to perform Factory Acceptance Testing (FAT) upon reasonable advance notice prior to crate packing and dispatch.
Custom finish options, including Qualicoat-certified architectural powder coatings, anodised films, and sublimation wood texture finishes, carry verified salt-spray resistance and UV durability certificates.
5. International Logistics, Export Packaging & Incoterms
For international supply orders, materials are packaged in export-grade reinforced wooden crates, cushioned with polyethylene foam dividers, and steel-strapped for safe containerised maritime or overland freight. Unless otherwise agreed in the commercial contract, export shipments follow standard Incoterms (EXW, FOB, or CIF).
Skyline Aluminium ensures complete export documentation, including Certificate of Origin (COO), commercial invoices, packing lists, and bill of lading releases.
6. Site Readiness, Installation & Safety Compliance
For projects requiring direct installation services within the UAE, the main contractor or client must provide clear, unhindered site access, structurally verified opening substrates, stable scaffold staging, and reliable auxiliary electrical power. Site safety protocols adhere strictly to local municipal health and safety directives.
7. Commercial Payment Terms & Escrow Milestones
Standard B2B commercial terms require an initial advance deposit for raw material allocation, followed by progress payments tied to factory fabrication milestones and final balance clearance upon dispatch or site handover. Financial transactions are conducted via documented electronic bank transfers or confirmed irrevocable letters of credit (LC) for major export contracts.
8. Warranty Governance & Defect Liability Period (DLP)
Skyline Aluminium provides formal warranty certification covering structural aluminium profile integrity, powder coating adhesion, glass hermetic seal performance, and operational mechanical hardware. Warranty periods vary from five (5) to ten (10) years based on profile tier and environmental exposure level. Defects resulting from third-party structural building movement, improper chemical cleaning, or unauthorized physical tampering are excluded from warranty coverage.
9. Intellectual Property & Technical Documentation
All CAD shop drawings, custom structural extrusion die designs, engineering calculations, and shop assembly details prepared by Skyline Aluminium remain the exclusive intellectual property of the company. Permission is granted solely for project execution and maintenance purposes associated with the designated contract.
10. Force Majeure & Limitation of Liability
Neither party shall be held liable for manufacturing or delivery delays caused by events beyond reasonable human control, including naturally occurring weather disasters, international shipping lane disruptions, raw material embargoes, or major power grid failures. Total financial liability for any proved defect shall not exceed the specific contracted value of the defective component.
11. Governing Law & Dispute Resolution
These commercial terms are governed by and construed in accordance with the federal laws of the United Arab Emirates. Any formal dispute arising out of or in connection with supply contracts shall be submitted to the exclusive jurisdiction of the competent courts of the UAE.
12. Corporate Contact & Contract Administration
